Terms of Use
- The “Member” represents an individual or a company who agrees to this Terms of Use (hereinafter referred as “Terms”) and has made an application in accordance with procedures Unipulse Corporation (collectively referred as “Unipulse”, “the Company” or “we”) hereby specifies and applies for admission to UG Online USA+Mexico (referred as “UG Online” or “the Service”) and of whom Unipulse accepts the registration.
- The “Membership Information” represents information in connection with attributions of a Member disclosed to us by them and their transaction history.
- These Terms apply to all Members and shall be compiled at the member registration procedure and after the registration.
- By registration of Membership, you acknowledge that you have read, understood and agreed to be bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, do not register the membership.
- The whole or any part of the registration information provided by the applicant to the Company is found to be false, inaccurate or omitted;
- The applicant is minor, adult ward or person under curatorship of assistance, and applicable approval or consent has not been obtained from such applicant’s legal representative, guardian, curator or assistant;
- The applicant is determined by the Company to be a party having violated any agreement with the Company, or to have been involved with such violating party;
- The applicant has suffered and of the measures under Article 7; or
- In addition to the foregoing, the Company deems the registration inappropriate.
- Password shall be used by only a Member themselves and shall not be transferable and lent to a third party.
- A Member shall be liable for keeping their password secure by changing it on a regular basis and such.
- Intentions which are indicated to us along with their password shall be regarded as an indication of intentions by a Member themselves. Therefore, a Member shall be fully responsible for payments accrued by the intentions.
- A Member is responsible for maintaining the confidentiality of the Member’s login and password, and the Member is responsible for all uses of the Member’s login, password, and PINs, and any related charges, whether or not authorized by the Member.
1.A Member shall report us forthwith when there are any changes in their membership information such as their billing address, email address and such.
2.We shall not be liable for any damages caused due to a failure in updating membership information.Besides, please note that even if membership information is updated by a Member, any order that is placed before the update shall be processed based on the information of the time.
When a Member wishes to withdraw from UG Online Membership, the Member shall operate the withdrawal procedure by themselves.
1.The Company shall be able to disaffirm a Membership qualification if a Member makes false declaration upon application for membership registration, fails payment obligation for online shopping, or for any other reasons that we regard a Member as inappropriate.
2.When a Member commits following acts specified below, they shall be liable for compensation for all damages we have sustained by them:
- To misuse User ID and Password.
- To obstruct our business by accessing our website and falsifying information or by sending computer programs harmful to our website and such.
- To violate the intellectual property rights of our products.
- To commit any other acts which violate these Terms of Use.
- As a general rule, we will not disclose the Membership information to a third party without prior consent of a Member.However, we shall be able to disclose the Membership information and any other information relating to a Member without prior consent in the following cases;
- When requested a disclosure by applicable laws and industry regulations;
- When we determine that it is necessary in order to protect out rights, interests, honors and such.
- We handle the Membership information in accordance with our “Privacy Policy”.We shall be able to use the Membership Information for the purpose of providing our services to Members, improving our service contents, promoting the use of our services, and ensuring healthy and efficient operation of our services.
- We shall be able to provide information (including advertisement) to Members by means of email newsletters and others.When a Member does not wish for it, we shall stop providing information upon their notification in accordance with a procedure we specify.However, information provision which is necessary for our service operation cannot be stopped in accordance with a Member's wishes.
- To violate applicable laws and industry regulations or these Terms, attentions upon the use of this service, attentions to shopping at UG Online and any other terms and such.
- To prejudice rights, interests, honors and else of the Company’s and other third party.
- To commit a conduct that could adversely affect the mind of youth and other acts that may violate public order or morality.
- To commit an act that incommodes to other Members and other third parties, or makes them develop a sense of discomfort.
- To enter false information.
- To send or write in harmful computer programs and emails and such.
- To illegally access our servers or any other computers.
- To transfer and lend a password to a third party or share it with other party.
- Any other matters we determine inappropriate.
- When it is necessary because of scheduled and emergency maintenance of the system.
- When the system load is concentrated.
- When the operation of the system is no longer possible due to fire, electricity outage, sabotage by a third party and such.
- When we determine it is unavoidable to discontinue the system for any other reason.
- It is prohibited to use the contents excluding their private use within the lawful range without prior permission of each owner of copyright in writing.
- Product names and company names used in this website are the trademarks or registered trademarks of their respective trademark owners.
- We shall not be held liable for a suspension, delay, discontinuation, data loss of the system due to failures of communication line and computer and such, a failure caused by illegal access to data and any other failures regarding the service which occurs to a Member.
- We do not guarantee that our website, servers, emails and contents sent from our servers do not contain anything harmful such as computer viruses.
- We are not liable for any failures caused by a Member to violate these Terms and such.
- The Service is operated by Unipulse from its office in Japan. We make no representation that the information located on UG Online is appropriate or available for use in other locations, and access to the Service from territories where the content of the Service may be illegal is prohibited. Those who choose to access the Service from other locations do so on their own initiative and are responsible for compliance with applicable local laws.
- We shall be able to revise these Terms arbitrary and to establish terms (hereinafter referred as “Complementary terms”) that complement these Terms.Revising and complementing these Terms shall take effect when revised Terms or Complementary terms are posted on a website specified by us. Members are deemed to be apprised of and bound by any changes of the Terms.In this case, a Member shall follow the revised Terms and the Complementary terms.
- We reserve the right to seek all remedies available at law and in equity for violations of these Terms and Conditions, including the right to block access from a particular Internet address or phone number to the Service. We may terminate this Agreement and/or your access to the Service at any time for any reason or no reason.
